BERLINO, GERMANIA - (Marketwire - 8 settembre 2011) - In data odierna, Bombardier presenterà la prima mondiale del tram BOMBARDIER FLEXITY 2 a Blackpool, in Inghilterra . Blackpool e il Consiglio della Contea di Lancashire hanno acquistato da Bombardier i tram tecnologicamente più avanzati del mondo per rivitalizzare la rete tranviaria più tradizionale del Regno Unito . The FLEXITY 2 tram combines 'the best of the best' in global tram technology and Bombardier's experience in delivering more than 3,500 trams and light rail vehicles to around 100 cities in more than 20 countries . FLEXITY 2 is based on the very successful BOMBARDIER FLEXITY family of light rail vehicles and combines proven technology with continuous improvement and innovation .

Blackpool has the UK's longest running tram operation, which last year celebrated its 125th year of operation . As a popular tourist destination, 4 million passengers use the tram annually, with the majority travelling during the busy summer period . While the heritage trams that operate the service remain a popular tourist attraction for visitors, with new accessibility regulations coming into effect in 2019, Blackpool and Lancashire County Council began an extensive programme to identify a supplier for a new fleet of vehicles, which would enable ease of access and comfort for all passengers .

Cllr Simon Blackburn, Leader of Blackpool Council commented: "Providing a modern tram service that operates as an effective transport system while still offering visitors and residents the opportunity to enjoy uninterrupted views of our coastline is something unique to Blackpool . The new FLEXITY 2 model will help us improve access for people with prams or with wheel chairs for example and will run alongside our heritage trams .

"Today marks a significant milestone in modernising our tram way and I am delighted that Bombardier chose the new tram depot on our Promenade as a fitting backdrop for an international launch of their new model . "

In addition to Croydon and Docklands in London, Nottingham and Manchester, Blackpool and Lancashire has become the latest location in the UK to operate Bombardier's light rail solutions . The new FLEXITY 2 is equipped with Bombardier's industry-leading BOMBARDIER ECO4 range of technologies making it an energy efficient and low carbon means of transit .

As well as having 100% low floor technology for optimal ride comfort, the FLEXITY 2 tram includes some new advanced features, such as touch-screens in the driver's cab, reflecting the latest developments in intelligent digital technology .

"We travelled to every part of Europe to visit both vehicle manufacturers and other tram operations," Paul Grocott, Programme Manager for Blackpool Council explained . "We were keen to look at everything the market had to offer and thereby ensure that we got the most competitive and best solution available . Ultimately we narrowed our search and selected Bombardier with the FLEXITY 2 tram . "

"In the end the technical message from Bombardier was extremely strong," Mr Grocott added . "The company has a lot of experience, particularly in the UK and whilst this is a new vehicle type it is a derivative of what is best in the FLEXITY family . "

The FLEXITY 2 vehicles are eagerly anticipated by the general public in Blackpool and Lancashire, though this does not signal the end for the heritage trams, which will continue to run alternate services with the new vehicles . Passengers will be able to choose which vehicle they want to use, old or new, with five-minute intervals between each service .

Following Bombardier's contract success in Blackpool and Lancashire, the Queensland Government in Australia has become the latest customer to order 14 new FLEXITY 2 trams for its Gold Coast Rapid Transit system . As part of the GoldlinQ consortium, Bombardier will also design, build, finance, operate and maintain the system .

Based on the highly successful FLEXITY platform with a strong reputation for performance and reliability, the FLEXITY 2 tram combines proven features and innovation in a single vehicle . It sets the highest standards in the areas of comfort, safety and environmental protection .

Each vehicle will be 32 . 2 m long and 2 . 65 m wide, with five sections and three bogies . The trams can carry approximately 74 seated passengers, with additional wheelchair and pushchair space plus standing room .

The technical advantages include an improved carbody concept, with good corrosion protection (essential for the seafront environment in which the vehicles operate) and an enhanced bogie design, the BOMBARDIER FLEXX Urban 3000 bogie .

Mestre/Firenze, 8 settembre 2011 . I Consigli di Amministrazione di Banca IFIS S . p . A . e di Toscana Finanza S . p . A . , riuniti oggi, hanno approvato il progetto di fusione per incorporazione di Toscana Finanza in Banca IFIS e la relativa Relazione degli Amministratori .

La fusione ha come scopo primario il delisting delle azioni di Toscana Finanza S . p . A . dal Mercato Telematico Azionario presso la Borsa Valori di Milano, unitamente al rafforzamento organizzativo dei processi della società neo-acquisita, la semplificazione dell'esercizio del controllo strategico, gestionale e tecnico-operativo, nonché l'ottenimento di sinergie ed economie di scala pur mantenendo in essere strutture ad elevata specializzazione .

I Consigli di Amministrazione, condivise e fatte proprie le valutazioni e le conclusioni dei rispettivi advisor, hanno determinato il rapporto di concambio come segue:

n . 7 azioni Banca IFIS per ogni 23 azioni Toscana Finanza .

E' previsto il diritto di recesso in capo agli azionisti di Toscana Finanza che non votino in Assemblea a favore della fusione .

La fusione rimane subordinata alla preventiva autorizzazione da parte di Banca d'Italia ai sensi dell'art . 57 del D . lgs . 385/93 . Previo ottenimento della relativa approvazione da parte dell'Autorità di Vigilanza, si prevede che la fusione possa essere sottoposta alle assemblee straordinarie dei relativi istituti entro il mese di Novembre 2011 .

L'Operazione di Fusione per incorporazione della controllata Toscana Finanza S . p . A . in Banca IFIS S . p . A . costituisce operazione con parte correlata di maggiore rilevanza ai sensi del Regolamento Consob n . 17221 del 12 marzo 2010 e successive integrazioni, dell'art . 5 . 3 . 1 della procedura per l'operatività con parti correlate di Banca IFIS approvata dal Consiglio di Amministrazione in data 1 dicembre 2010, nonché dell'art . 13 . 2 della procedura per la disciplina delle operazioni con parti correlate di Toscana Finanza approvata dal Consiglio di Amministrazione in data 29 novembre 2010 .

L'indice di rilevanza applicato all'Operazione, in base alla procedura di Banca IFIS, è stato quello del controvalore, ovvero il rapporto tra il controvalore dell'operazione e il patrimonio di vigilanza consolidato di Banca IFIS al 30 giugno 2011, che risulta superiore alla soglia del 5% individuata dalla Procedura e precisamente pari al 20,49% .

L'indice di rilevanza applicato all'Operazione in base alla procedura di Toscana Finanza è stato quello del controvalore, ovvero il rapporto tra il controvalore dell'operazione e il patrimonio netto consolidato di Toscana Finanza al 30 giugno 2011, che risulta superiore alla soglia del 2,5% individuata dalla Procedura (soglia di rilevanza ridotta per le operazioni realizzate con la controllante quotata) e precisamente pari al 74,92% .

Per controvalore dell'operazione si intende la somma: a) del corrispettivo pagato da Banca IFIS in seguito alla chiusura dell'Opa pari ad un importo di 35,456 milioni di euro a fronte dell'acquisizione del 77,26% del capitale sociale di Toscana Finanza e b) del valore della partecipazione di minoranza in conformità a quanto previsto dall'IFRS 3 e, in particolare, considerando il valore del concambio delle residue azioni possedute da soci di minoranza al valore delle azioni scambiate in Opa (1,5 euro per azione), per un importo complessivo di 10,436 milioni euro .

Analoga procedura per il calcolo del controvalore dell'operazione, ai fini del calcolo del relativo indice, è stata seguita da Toscana Finanza .

Le Società non si sono avvalse di casi di esclusione di cui agli artt . 13 e 14 del suddetto Regolamento Consob .

L'Operazione è stata sottoposta alla preventiva approvazione in data 7 settembre 2011, del Comitato di Controllo Interno di Banca IFIS, nella sua componente costituita da soli Amministratori indipendenti, che, con il supporto di un esperto indipendente, il Dott . Giorgio Pellati per Banca IFIS, ha rilasciato un parere favorevole sull'interesse della Banca al compimento dell'Operazione, nonché sulla convenienza e correttezza sostanziale e procedurale delle relative condizioni . Per Toscana Finanza S . p . A . l'operazione è stata sottoposta alla preventiva approvazione senza astensioni né voti contrari del Collegio Sindacale, nella sua funzione di comitato per le Parti Correlate individuato dall'Emittente a tutela della correttezza sostanziale delle operazioni con Parti Correlate, il quale si è altresì avvalso, per le proprie valutazioni, del supporto di un esperto indipendente, Dott . Sandro Santi, per Toscana Finanza, nominato dal Consiglio di Amministrazione di Toscana Finanza S . p . A . con delibera del 29 . 08 . 2011 .

BERLINO - (Marketwire - 5 settember 2011) - Bombardier Transportation ha annunciato in data odierna di aver ricevuto un ordine per 76 vetture per metropolitana BOMBARDIER MOVIA da parte di Delhi Metro Rail Corporation Ltd (DMRC) . La commessa, del valore stimato di circa EUR 84 Mio (USD 120 Mio), segue gli ordini per 114 veicoli annunciato verso la metà del 2010 . Le consegne avranno inizio nel terzo trimestre del 2012 si concluderanno prevedibilmente nei primi mesi del 2013 .

With the new order DMRC will be operating a fleet of 614 MOVIA metro cars, one of the largest in the world . DMRC will be benefiting from economies of scale in both acquisition and maintenance costs . Around 460 of these MOVIA cars are already operating successfully on Delhi's metro network . With more high-capacity MOVIA metro trains in operation, mobility in Delhi is improving on a weekly basis, with passengers getting their travel experience enhanced by less waiting time and more space inside the trains . During the 2010 Commonwealth Games in Delhi the MOVIA metro trains were a cornerstone of the mobility plan successfully implemented by DMRC .

The MOVIA vehicles and BOMBARDIER FLEXX Metro 3000 bogies are manufactured entirely at Bombardier's industrial site in Savli, Vadodara which is in Gujarat State, India . The site inaugurated in 2008 has proven to be a real impetus to the local economy . To date, 780 new direct positions and over 3,000 indirect jobs through the local supplier network have been generated . The proven design of the FLEXX Metro 3000 bogies is geared towards the operational requirements of DMRC to ensure safe, reliable operations and low life cycle costs .
